Shareholders of Maintel Holdings voted in favour of all five resolutions put to the general meeting, including the annual report and the financial statements for the year ended 31 December 2025 (100% of votes cast). The directors’ remuneration reports were approved with 96.85% support, while the remuneration policy received the lowest approval at 74.80%. RSM UK Audit LLP was reappointed as auditor with 99.78% support, and the directors’ authority to determine the auditor’s remuneration received near-unanimous approval. Maintel Holdings has announced personnel changes to its board of directors following the completion of a refinancing and capital increase. Stephen Beynon has announced his resignation as non-executive chairman but will remain in office until a successor is appointed and an orderly handover is completed. Angus McCaffery and Clare Bates will leave the board at the end of July, and William Ginn will join the board as an independent non-executive member on July 24, 2026. The Oryx International Growth Fund has withdrawn its request to convene an extraordinary general meeting and intends to submit a new motion to remove director Dan Daniels and appoint Martin Rowland as executive chair. Oryx accuses the Maintel board of failing to inform major shareholders about a takeover offer made around 12 months ago that included a significant premium.
