Perrot Duval suspended from trading ahead of general meeting
Perrot Duval shares are suspended on SIX until further notice. The trading halt is likely related to the extraordinary general meeting, where shareholders will vote on the planned reverse takeover with Infomaniak and a capital increase by contribution in kind of Infomaniak shares totaling 200 million Swiss francs. In addition, the sale of subsidiary Füll Process is to be approved, board positions will be newly filled (including Frank Guemara as chairman), and the company will be renamed Infomaniak SA. » More on finanzen.net
Infomaniak considers capital increase after IPO; listing planned via Perrot Duval
Infomaniak plans the IPO via a reverse takeover through Perrot Duval and does not rule out a later capital increase to finance growth, CEO Marc Oehler said. The listing is intended to bring credibility and access to the capital market, but the RTO will not initially bring fresh capital. Planned investments include a new D5 data center with 2.5 MW capacity (commissioning 2028); the primary financing source remains operating cash flow, with debt or a capital increase as options. For 2026 Infomaniak expects revenue growth of 15–20% with a high EBITDA margin; about one third of revenue already comes from abroad. » More on finanzen.net
Perrot Duval to bring Infomaniak to the stock exchange via reverse takeover
Perrot Duval has signed an agreement to acquire 100% of Infomaniak’s shares and plans a reverse takeover under which Infomaniak shareholders will receive Perrot Duval shares in a capital increase. At the same time, the existing industrial business is to be divested and the subsidiary Füll Process sold in a management buyout. The transaction requires approval from the SIX Prüfstelle, the Regulatory Board and the shareholders (general meeting on 24 September) and could close no earlier than around 25 September. In fiscal year 2025/26 revenue rose 10% to CHF 15.3 million, the operating loss narrowed to CHF 0.4 million, but the net loss widened to CHF 3.9 million, partly due to the RTO transaction. » More on finanzen.net
