Aegon reached an agreement with its largest shareholder, Vereniging Aegon, on a governance framework to enable the company's planned move to the US. Key changes include moving the legal seat to Delaware, annual director elections, converting Common Shares B into a single class with equal voting rights, introducing annual Say-on-Pay advisory votes and authorizing a new class of preferred stock. Vereniging Aegon will be renamed Vereniging Aegon Americas, retain an 18.4% stake and donate EUR 500 million to a new Netherlands-based charitable foundation.
