artnet AG: Leonardo Art Holdings demands squeeze-out to transfer minority shares

Leonardo Art Holdings GmbH states that, after completing its voluntary takeover and delisting offer, it will hold at least 97.33% of artnet AG’s shares and is now requesting a stock-corporation squeeze-out under §§ 327a et seq. AktG to transfer the minority shares. artnet AG recommends acceptance of takeover offer and delisting

The management and supervisory board of artnet AG recommend that shareholders accept the takeover and delisting offer from Leonardo Art Holdings GmbH at €11.25 per share. The takeover aims to establish a long-term ownership structure and enable the company to operate independently of capital market constraints.
