Cascadero Copper sells subsidiary to Lumina Copper for up to US$19 million
Cascadero Copper is selling all shares of Cascadero Minerals to Lumina Copper, in association with First Quantum Minerals, for a cash payment of US$15 million on closing plus deferred payments of up to US$4 million contingent on milestones at the Taca‑Taca project. Lumina will pay about US$925,000 at closing to a third party, and Cascadero will assume liabilities to director Nelson Borch of approximately US$163,631. The transaction requires approval of at least 66⅔% of votes at an extraordinary general meeting; Lumina already has voting agreements with shareholders holding about 47.9% of the shares. After the sale, Cascadero will focus on the Taron cesium project in Argentina; the agreement is subject to customary closing conditions and approval by the TSX Venture Exchange. » More on de.investing.com
