Ciena completed a private placement of senior convertible notes totaling $2.875 billion (including a $375 million overallotment option) with a 0.00% coupon and matu­rity in 2031. The notes are guaranteed by domestic subsidiaries; a bond-hedge and warrants structure sets the effective conversion price at $1,000 per share. Net proceeds will be used for hedging transactions, the repurchase of about 0.3 million common shares, repayment of a loan of approximately $1.14 billion, as well as for supply‑chain capacity and general corporate purposes.
