Enapter agrees to eliminate around EUR 26m of bond liabilities and shifts to asset-light model
Enapter has reached an agreement with Patrimonium under which Patrimonium will take over the Enapter Campus and in return waive substantial parts of its claims, thereby canceling bond liabilities of around EUR 26m. The realignment envisages an asset-light business model with partner-based series production; chemical electrode manufacturing will remain in Pisa. Major shareholders are providing EUR 3m on a short-term basis, and a strategic investor plans a subscription of EUR 10–12m in H2/2026. Enapter publishes preliminary 2025 figures: revenue on target, EBITDA significantly weaker
Enapter reports preliminary revenue for 2025 of around €22.1 million, within the target range of €20–22 million. The preliminary unaudited EBITDA was about -€18.1 million, substantially worse than the guidance of -€9 to -€10 million, driven by roughly €3 million in receivables write-offs and about €4.5 million in costs related to the return of delivered stacks. Adjusted for these effects, EBITDA would have been around -€10.6 million (previous year: -€6.9 million). Enapter approves €12m capital measures fully placed with institutional anchor investors
Enapter is carrying out capital measures with gross proceeds of €12 million, consisting of a subordinated zero‑coupon mandatory convertible bond (approx. €9.6 million) and a cash capital increase (€2.4 million). The initial conversion price and the subscription price for around 1.5 million new shares is EUR 1.58; Svelland Global Trading and CVI Investments fully subscribe to the transaction and have agreed to a six‑month lock‑up.
