XenoTherapeutics has completed the acquisition of ESSA Pharma and acquired all outstanding common shares through its subsidiary Xeno Acquisition Corp. for about $0.1242 per share. The previously revised terms were supplemented by a contingent value right (CVR) that can enable additional payments of up to $0.14 per share and up to $6.7 million in total. Holders of ESSA Pharma securities voted by an overwhelming majority (99.83% and 99.85% including options/warrants) to approve the takeover by XenoTherapeutics under a plan of arrangement. The transaction remains subject to court approval by the Supreme Court of British Columbia; the hearing is scheduled for October 7, 2025, and closing is expected around October 9, 2025. ESSA announced amended deal terms: the expected cash payment was reduced from 1.91 USD to about 0.12 USD per share, and shareholders will also receive a non-transferable CVR with a possible payment of up to 0.14 USD; additionally, an $80 million distribution to shareholders is planned. XenoTherapeutics is to acquire all issued common shares of ESSA, but the merger terms were revised: the expected cash payout was cut from about $1.91 to roughly $0.12 per share and a non‑transferable CVR worth up to $0.14 was added.
