Expro: ISS recommends approval of move of registered office to the Cayman Islands
Institutional Shareholder Services (ISS) has revised its recommendation on Expro’s planned transfer of its registered office from the Netherlands to the Cayman Islands and now advises shareholders to vote in favor of the move and two charter amendments. The reversal followed additional information Expro filed with the SEC on June 1. Expro expects annual savings of more than $600,000 (rising to over $1m including avoided EU sustainability reporting), elimination of a 15% withholding tax on dividends, and an improved chance of inclusion in S&P indices; the headquarters will remain in Houston, the NYSE listing under XPRO and the management structure will be retained.
