Home Depot completes $5.5 billion acquisition of GMS via subsidiary SRS

Home Depot has completed the acquisition of GMS by its professional-trade subsidiary SRS Distribution for an enterprise value of about $5.5 billion. Approximately 79.5% of outstanding GMS shares were tendered at a cash price of $110 per share; remaining shares were converted into claims for the same cash payment. Home Depot extends tender offer for GMS as Canadian approval pending

Home Depot extended the expiration of its $110-per-share tender offer for GMS Inc. to Sept. 3, 2025 to allow extra time to satisfy conditions under the Canadian Competition Act and obtain required regulatory approvals. As of the prior deadline, holders of 29.31 million GMS shares (77% of outstanding) had tendered and not withdrawn, while Home Depot continues to pursue the acquisition to strengthen its position with professional contractors following its SRS Distribution deal. The Home Depot receives Canadian clearance for tender offer to buy GMS

The Home Depot received a no-action letter from the Canadian Competition Bureau clearing the antitrust condition for its tender offer, via subsidiary Gold Acquisition Sub, Inc., to acquire all outstanding shares of GMS.
