    Shareholders of Gold Resource Corporation voted at an extraordinary general meeting to approve the merger agreement with Goldgroup Mining. After the merger Gold Resource will remain as a 100% subsidiary of Goldgroup Mining; closing is expected on or about July 17, 2026, after Goldgroup completes a share consolidation. The deal is subject to all required approvals and the satisfaction or waiver of any closing conditions.     Goldgroup Mining has launched a 24,000m diamond core drilling programme at its wholly owned San Francisco project in Sonora to update the resource model, optimise the mine plan and gather structural and technical data ahead of a planned restart. The campaign, funded internally with an $8m budget, is due to finish in Q3 2026 and supports a targeted production restart at the end of 2026 or early 2027.   • Goldgroup Mining to acquire Gold Resource for $372 million

    Goldgroup Mining will acquire Gold Resource Corporation in an all-stock transaction valued at about $372 million. Gold Resource shareholders will receive 1.4476 Goldgroup shares for each GORO share; after a planned 4-for-1 share consolidation this equals 0.3619 Goldgroup shares and a value of $2.25 per GORO share (a 39% premium to the Jan. 23, 2026 closing price). Upon closing, Gold Resource shareholders are expected to own roughly 40% of the combined company; the asset portfolio includes Don-David, Back-Forty (PEA), Cerro Prieto and San Francisco. The board will consist of three Goldgroup and two Gold Resource members, and management will be provided by Gold Resource.
