Gossamer Bio secures up to $250 million via private placement
Gossamer Bio has entered into a purchase agreement for up to approximately $250 million in securities. Of that amount, $150 million is committed, including $25 million at the first closing and an additional $125 million contingent on FDA acceptance of the NDA for Seralutinib, which the company plans to submit in September 2026. In addition, exercisable warrants upon approval could raise up to roughly $100 million. Gossamer Bio will submit a regulatory filing for Seralutinib in pulmonary arterial hypertension in September 2026 after a productive pre-NDA Type B meeting with the FDA; a potential FDA decision could come in Q3 2027. The company has reacquired global development and commercialization rights for Seralutinib from Chiesi with no upfront payment; Chiesi instead receives a $5 million one-time settlement and retains a capped royalty on future net sales. Gossamer Bio reaches 90.5% acceptance rate in bond exchange
Gossamer Bio reports that holders of 5.00% convertible senior notes (due 2027) have tendered notes with a principal amount of $181.1 million, representing a 90.5% acceptance rate. The outstanding notes are being exchanged for new, senior secured 7.50% convertible senior notes (due 2030) of up to $65.2 million principal amount, approximately 254.2 million common shares, 33.4 million pre-funded warrants and 135.8 million purchase warrants; settlement is scheduled for Thursday. The transaction lowers the required minimum tender threshold from 98% to 90.5% and effectively removes all covenants and certain events of default; newly issued shares will be subject to a transfer restriction until the annual meeting on June 5, 2026.
