IperionX to relocate corporate headquarters to Texas and form US parent company
IperionX plans to move its legal domicile to the US by creating a new parent company under Texas law, subject to approval by shareholders, courts, regulators and exchanges. The aim is a direct listing of the common shares on the NASDAQ and the replacement of the existing American Depositary Shares, with no changes to assets, operations or strategy. The company cites alignment with its US sites in Tennessee, Virginia and Utah as well as US customers and government-supported programs as the rationale. Michael J. IperionX is offering 2,275,000 American Depositary Shares (each ADS = 10 common shares) at $21.98 and expects gross proceeds of about $50 million, representing a discount to the current price of $25.85. The offering was largely subscribed by U.S. institutional investors and is expected to close promptly subject to customary conditions.
