ITV: bondholders approve changes to bond terms

ITV said holders of the €500,000,000 bond (maturing 19 June 2032, coupon 4.25%) have overwhelmingly approved amendments to the bond terms. The adjustments clarify definitions and amend the trust deed with HSBC to reflect the sale of the media and entertainment business to Sky. The changes came into effect today; a consent fee will be paid to eligible creditors on 12 August 2026, and the resolution is binding on all bondholders. » More on de.investing.com
itv launches share buyback programme of up to £100 million

ITV has announced a buyback programme for ordinary shares of up to £100 million and has appointed Morgan Stanley as principal to execute the purchases. The programme runs until 9 July 2027 and provides for a maximum of 386 million ordinary shares of 10 pence each, in line with the shareholder authority given on 7 May 2026. The purpose is to reduce the called-up share capital; purchases will be made on multiple exchanges, disclosed in a timely manner and carried out in accordance with the UK Listing Rules. » More on de.investing.com
J.P. Morgan downgrades ITV after disappointing Sky deal

J.P. Morgan Cazenove has downgraded ITV from overweight to neutral and cut the price target from 104p to 85p, after the stock fell more than 6%. The downgrade is attributed to less attractive terms in the sale of the media and entertainment division to Sky, which brings in £1.4–1.6bn and pays 5.6–6.4 times EBITDA. ITV will incur separation and studio costs of around £180m, expects net cash proceeds after tax of about £1.05bn and plans a distribution of £950m (25p per share). » More on de.investing.com
