Kaixin Auto rises about 27.7% after agreement to $15 million acquisition deal

Kaixin Auto has signed a strategic acquisition agreement to acquire Zhejiang Ordinary Smile Auto Sales Co., Ltd., with consideration of up to $15 million in newly issued Class A shares. The shares will be held in trust and released over five years, subject to staggered revenue targets (RMB 665 million in year 1 up to RMB 974 million in year 5). During the measurement periods the seller retains dividend and voting rights; if targets are not met, share entitlements will be adjusted and recalled, while significant overperformance can offset prior shortfalls.
