Cardiff Oncology completed the sale of 8,571,429 shares of common stock and accompanying warrants at $1.05 each in a registered direct offering, yielding gross proceeds of approximately $10 million before fees. Officers and directors purchased 731,707 shares and warrants at $1.435 each; the warrants have an exercise price of $1.31, are exercisable no earlier than six months after issuance or after approval of the equity increase, and expire five and a half years after they first become exercisable. Cardiff Oncology will present preclinical data on its PLK1 inhibitor Onvansertib at the AACR 2026 annual meeting, which are intended to show that Onvansertib enhances the antitumor activity of trastuzumab‑deruxtecan (T‑DXd) and overcomes resistance in treatment‑refractory HER2‑low breast cancer models. Onvansertib is an orally administered PLK1 inhibitor currently being tested in a phase 2 trial in RAS‑mutant metastatic colorectal cancer and is being investigated in additional trials across various tumor types.
