Kala Bio secures $10 million through registered direct placement

Kala Bio is selling 10 million common shares at $1.00 each in a registered direct placement and expects to close around December 5, 2025. The gross proceeds of about $10 million are to be used to repay certain obligations and for general corporate purposes; H.C. Wainwright & Co. is the exclusive placement agent. In parallel, a $6 million purchase agreement was made with new CEO and investor David E. Lazar (about $1.8 million received so far). Kala Bio is under financial pressure (current ratio 0.75, EBITDA -$41.31 million) and has received a termination notice from Oxford Finance on a $29.1 million loan. KALA BIO stock rises after $6 million investment and appointment of David E. Lazar as CEO

KALA BIO shares jumped 28.3% in premarket trading after a $6 million securities investment was agreed with private investor David E. Lazar. $1.8 million was paid at the first closing, Lazar was immediately named CEO and chairman, while Todd Bazemore remains on the board. KALA plans to use the funds to continue evaluating and developing its therapy candidates and to explore strategic options; a second closing of $4.2 million is conditional on shareholder approval in Q1 2026.
