Kala Bio is selling 10 million common shares at $1.00 each in a registered direct placement and expects to close around December 5, 2025. In parallel, a $6 million purchase agreement was made with new CEO and investor David E. Lazar (about $1.8 million received so far). Kala Bio is under financial pressure (current ratio 0.75, EBITDA -$41.31 million) and has received a termination notice from Oxford Finance on a $29.1 million loan. KALA plans to use the funds to continue evaluating and developing its therapy candidates and to explore strategic options; a second closing of $4.2 million is conditional on shareholder approval in Q1 2026.
