Kustom Entertainment outlines integration plans for acquisition of TFL
Kustom Entertainment said in an operational briefing that it will integrate TFL’s (Tickets For Less) technology platform into its TicketSmarter subsidiary. TFL generated more than $238 million in revenue in 2025 across five segments and provides backend software, dynamic pricing and venue partnerships. By combining platforms, Kustom aims to eliminate redundant technology fees, expand gross margins, replace third-party ticketing for festivals, and unlock secondary-market revenue and B2B revenue streams. Kustom Entertainment acquires ticket platform TFL
Kustom Entertainment has signed a definitive agreement to buy 100% of the shares of TFL, LLC. The acquisition combines Kustom’s festival production business with TFL’s ticket distribution and technology platforms, which generated more than USD 238 million in revenue in 2025. Consideration will be paid in cash and Kustom common stock, with a portion of the shares tied to future EBITDA performance milestones; the TFL leadership team is expected to receive long-term contracts. Kustom Entertainment sells video division to Cycurion for $6.1 million
Kustom Entertainment has completed the sale of its video division to Cycurion for $6.1 million: $1.25 million in cash (of which $250,000 is non‑refundable), a secured promissory note for $4.25 million (36‑month term, 7.0% p.a.), and Cycurion preferred shares worth $600,000 with a 12% cumulative dividend and a conversion right at $1.45. The agreement strengthens the balance sheet and allows Kustom to reduce operating overhead and focus on live entertainment and ticketing.
