Nouveau Monde Graphite placed 52.44 million subscription receipts at $1.84 each, raising gross proceeds of about $96.5 million, accompanied by a banking syndicate led by BMO Capital Markets and National Bank Capital Markets. The company is paying the underwriters a 5% fee; the proceeds have been deposited in escrow pending satisfaction of the release conditions. The subscription receipts trade on the TSX under NOU.R.U and are to be converted into common shares once a concurrently planned private placement of about $213 million is completed and shareholders approve. Nouveau Monde Graphite has acquired a 143,000 m² brownfield site with a 22,000 m² industrial facility in Bécancour, Quebec, directly adjacent to its greenfield property. The company plans to build a first refining stage there to supply Panasonic Energy with 13,000 tonnes of active anode material annually for battery plants in Nevada and Kansas. The brownfield option is expected to enable lower infrastructure costs and faster permitting and construction; a Class 3 cost estimate is planned for H1 2026 and a final investment decision is targeted for H2 2026.
