    The Amsterdam-listed commodities group AMG Critical Materials has secured the remaining 71 percent of Zinnwald Lithium, thereby taking control of the lithium project in the Erzgebirge. AMG values the acquisition of Zinnwald at just under $75 million; part of the purchase price will be paid in AMG shares. AMG plans a phased commissioning with an initially reduced scope, intends to advance technical studies, and to link raw ore processing using its own technology with processing capacity from the Bitterfeld refinery.     AMG Lithium has announced a recommended cash-and-share offer to acquire Zinnwald Lithium worth about £57.18 million. Zinnwald shareholders would receive 5.0 pence in cash plus 0.001577 new AMG shares for each Zinnwald share; the offer values a Zinnwald share at around 10.0 pence and represents a 63% premium to the closing price on 13 May 2026. AMG already holds about 29.32% of the shares and has irrevocable commitments for approximately 20.82%; Zinnwald’s independent directors recommend acceptance. The transaction is expected to be implemented by a scheme of arrangement and, subject to shareholder and court approval, is expected to complete in the third quarter of 2026.   • Zinnwald Lithium receives approval for around 1 km exploration tunnel in Saxony

    Zinnwald Lithium has received approval from the Sächsisches Oberbergamt to construct an exploration tunnel of about one kilometre for the Zinnwald project. The tunnel is intended to provide geotechnical, seismic and hydrogeological data and to allow up to 2,000 tonnes of bulk samples for metallurgical testing; the approval is valid until 31 December 2027 and does not authorize commercial mining.
