Bluesky Digital Assets acquires chess-gaming platform ChessGold and plans name change

Bluesky Digital Assets has completed the acquisition of ChessGold, paying 10 million of its common shares at $0.10 each (total value $1.0 million). In addition, 20 million milestone warrants at $0.20 will be issued, tied to targets such as 500,000 registered users, $1.0 million in revenue, a desktop launch and $1.0 million in EBITDA. After closing, Bluesky is to be renamed ChessGold Inc.; existing ChessGold shareholders will continue to hold about 11.84% of the combined company. Bluesky Digital Assets plans takeover of ChessGold by share swap

Bluesky Digital Assets has signed a binding letter of intent to acquire all outstanding shares of ChessGold in a share swap. Bluesky will issue 10 million shares at USD 0.10 each, which would leave ChessGold shareholders with about 11.84% of the combined company, and issue 20 million milestone warrants to the principal shareholder. In addition, a private placement of up to USD 3 million is planned at USD 0.10 per unit (common share plus warrant, warrant exercise USD 0.13 within 24 months); the transaction requires shareholder approval and regulatory approvals from the Canadian Securities Exchange. Upon closing the company is to be renamed ChessGold; a trading suspension until approval is possible.
