EQTEC shareholders approve resolutions for share placement, debt restructuring and Kaupfer-Gold project

At the extraordinary general meeting on 12 February, EQTEC shareholders approved all five resolutions put forward, including two ordinary and three special resolutions. The resolutions permit the placement of new ordinary shares, the restructuring of existing credit facilities and the acquisition of a copper‑gold project in Western Australia. EQTEC announces a comprehensive realignment: a placement to raise £1.3m through the issue of around 3.7 billion shares at 0.035 pence (61% discount), and a restructuring of existing liabilities of about £5.79m. As part of the restructuring, £1.93m will be converted into new shares, £1.93m into a zero‑coupon convertible loan for the Spanish subsidiary, and £1.93m retained as a secured five‑year liability. EQTEC acquires 99% of the Green Rock copper‑gold project for USD 150,135 and secures an option on 99% of the Peak Hills project for USD 13,514 (exercise price up to USD 2.29m). EQTEC plans capital increase and renaming to Forgent plc

EQTEC has called an extraordinary general meeting for 12 February 2026 to approve an increase of its authorized share capital by €1.5m through the issuance of 15 billion new ordinary shares and to rename the company Forgent plc. The meeting will also seek renewals of share issuance authorities after the available authorized capital was rapidly used up due to low share prices during recent capital measures. The company intends to expand its strategy into capital-efficient commodity projects for copper, gold and rare earth elements and is in talks with lenders; an existing convertible bond has been extended until 28 February 2026.
