Austin Russell seeks to acquire 100% of Luminar through Russell AI Labs

Former CEO Austin Russell filed to buy all outstanding Class A shares of Luminar via his new vehicle Russell AI Labs, saying the move was suggested by certain shareholders and board members. The plan would keep the combined company publicly traded under the LAZR ticker. Russell resigned earlier this year amid an ethics inquiry. Luminar Technologies stock jumps despite revenue decline and lowered guidance

Luminar Technologies reported Q2 2025 revenue fell to $15.6 million and cut its 2025 revenue guidance to $67–74 million, while planned deliveries were reduced to 20,000–23,000 units. Despite the weaker figures, the stock rose sharply; the company is relocating production from Mexico to Thailand and is placing greater emphasis on commercial markets and defense applications.
