The notes do not pay regular interest; the initial conversion rate is 2.6281 ADS per $1,000 principal (conversion price about $380.50 per ADS, roughly a 65% premium to the closing price). Conversion before May 15, 2031 is only possible under certain conditions, thereafter until two trading days before maturity at the option of the holders; early redemption by the company is allowed under certain tax conditions or from August 20, 2029 if 130% of the conversion price is reached.
