Flex announces spin-off of Critical and Embedded Power and focuses RemainCo on higher-margin markets

At the Goldman Sachs Communacopia + Technology conference, Flex presented a planned spin-off of its Critical and Embedded Power business shortly after the start of the year and a growth plan for the remaining RemainCo focused on earnings and margin expansion. Management cited financial discipline, productivity improvements, automation and AI, and portfolio adjustments as drivers; RMS and ITS recently recorded two quarters of double-digit growth and margins rose to 5.7%. The $4.4 billion acquisition of EPC Power is intended to strengthen the data-center power business with targets for strong revenue and margin growth through 2027. Flex buys EPC Power for $4.4 billion

Flex has reached a definitive agreement to acquire EPC Power for $4.4 billion; the deal is subject to regulatory approvals and is expected to close in the fourth quarter of 2026. EPC Power will be operated as a business unit within the Cloud and Power Infrastructure segment and brings 800-volt architectures, digital rectifiers, semiconductor transformers and agile grid-forming capabilities for data centers, energy storage and microgrids. Flex shares plunge despite beating quarterly numbers after weak outlook and leadership change

Flex beat analyst expectations in the first fiscal quarter of 2027 with adjusted EPS of $1.00 and revenue of $7.9bn, but the stock fell 11.7% in pre-market trading. The trigger was a rather narrow full-year guidance (EPS $4.42–$4.74, revenue $33.70–$35.20bn) and a far-reaching leadership reshuffle: CEO Revathi Advaithi will lead SpinCo (Cloud and Power Infrastructure), while Michael Hartung will become CEO of the remaining unit after the spin-off.
