Flex names Axiom Solutions as spinoff and files Form 10 with the SEC

Flex disclosed the name of its planned cloud and power infrastructure spinoff as Axiom Solutions International, Inc. and filed a preliminary registration statement (Form 10) with the SEC. Flex announces spin-off of Critical and Embedded Power and focuses RemainCo on higher-margin markets

At the Goldman Sachs Communacopia + Technology conference, Flex presented a planned spin-off of its Critical and Embedded Power business shortly after the start of the year and a growth plan for the remaining RemainCo focused on earnings and margin expansion. Management cited financial discipline, productivity improvements, automation and AI, and portfolio adjustments as drivers; RMS and ITS recently recorded two quarters of double-digit growth and margins rose to 5.7%. The $4.4 billion acquisition of EPC Power is intended to strengthen the data-center power business with targets for strong revenue and margin growth through 2027.
