  • Goodwin sells core business to Cerberus – shares fall

    Goodwin has agreed to sell large parts of its "Mechanical Engineering" division to a Cerberus subsidiary; cash consideration is up to around £1.1 billion. The units being sold recently contributed significantly more to operating profit (£206m in gross assets, £69m operating profit) than the remaining "Refractory Engineering and Technological Division" (£10m). The share price fell by around 6% despite initial approval, as investors price in a smaller, less profitable company going forward; completion depends on regulatory approvals and an internal reorganization and is targeted for Q1 2027.     Goodwin says it is in advanced talks to sell large parts of its machinery division to funds advised by Cerberus Capital Management. The purchase price is expected to be about £1.1 billion in cash, subject to customary completion adjustments.
