onsemi pays Synaptics 123 USD in cash and lowers takeover price to 5.7 billion USD
onsemi and Synaptics have reworked their June deal after a competing bid: instead of a stock swap, onsemi will now pay 123 USD per Synaptics share in cash, reducing the transaction value to about 5.7 billion USD. Financing will come from cash on hand and a committed debt facility from Morgan Stanley of up to 2.45 billion USD, avoiding dilution but increasing leverage. onsemi expects immediate accretion to earnings per share and ongoing synergies of 200 million USD per year; closing is expected by mid-2027 and remains subject to approval by Synaptics shareholders and further regulatory reviews. » More on finanzen.net
