Teva may launch its generic in the US no earlier than Dec. 7, 2036, unless certain contingencies occur earlier, and acknowledges two US Aurinia patents as enforceable that expire in Dec. 2037. Aurinia Pharmaceuticals completes acquisition of Kezar Life Sciences
Aurinia Pharmaceuticals has completed the acquisition of Kezar Life Sciences after the expiry of a takeover offer and acquired approximately 80.24% of the outstanding common shares. Kezar shareholders received US$6.955 in cash per share plus a contingent value right (CVR) providing for possible future payments. Aurinia merged Kezar into a subsidiary, making Kezar a wholly owned subsidiary; the merger was effected under Section 251(h) of the Delaware General Corporation Law without a separate shareholder vote.
