Shareholder lawsuit forces Bio-Techne to provide additional disclosures on Merck merger

Bio-Techne issued supplemental information to the proxy materials for its planned merger with Merck KGaA after a shareholder lawsuit filed on Sept. 9 and several demand letters. The suit alleges that material information was omitted or misrepresented in the proxy statement and seeks a court order blocking the shareholder vote scheduled for Sept. 23. Bio-Techne says the allegations are unfounded but has voluntarily provided extra details, including on prior takeover talks, the terms of Goldman Sachs’s engagement and updated financial metrics to enable the vote.
