Medtronic launches exchange offer for MiniMed with 7% discount
Medtronic is offering its shareholders the option to exchange common shares at a 7% discount for up to 225.4 million MiniMed shares. The exchange ratio is capped at 4.5939 MiniMed shares per Medtronic common share; participating shareholders would receive MiniMed shares worth about $107.53 for every $100 of Medtronic shares, unless the cap applies. The aim is to spin off at least 80.1% of MiniMed; if oversubscribed, an additional 27.45 million shares may be exchanged, otherwise spin-off, split-off or debt-for-equity options are planned. Pricing will be based on the volume-weighted average price over three trading days ending Oct. 5–7; Medtronic shares rose 2.8% on the news. » More on de.investing.com

Cardiovascular revenue rose 18.9% with Cardiac Ablation Solutions up 88%, while Neuroscience and Medical Surgical also posted solid gains.
