Compass Diversified reduced the base management fee in the amended agreement from 2.00% to 1.25% of adjusted net assets, effective January 1, 2027, with a tiered structure for higher assets and a fee cap of $30 million for 2027. The change is expected to lower management fees in 2027 by about $19–22 million versus the prior formula. The previous incentive fee will be replaced by a cash-settled Share Alignment Award (0.125%) and a Performance-Based Award (0.125%), the latter weighted 70% to relative total return and 30% to EBITDA performance; for 2027 there is a minimum payout threshold of $17.25 including distributions.
