  • Costamare issues Series F preferred shares to reinforce voting control

    Costamare has agreed to sell 1,200 newly created Series F preferred shares to Konstantinos Konstantakopoulos; each share carries 50,000 votes but no dividend or liquidation rights. The issue is intended to ensure that U.S. persons do not control more than 25% of the voting rights; after the transaction the Konstantakopoulos family will hold about 75.7% of the voting rights (previously about 63.6%). The shares can be repurchased by independent directors for $1 per share and will automatically lapse after five years if still outstanding.
