CRH transforms into vertically integrated compounder focused on US aggregates and infrastructure

CRH has shifted from a cyclical European cement producer to a vertically integrated provider of construction materials and infrastructure, with roughly 75% of revenue generated in the U.S. The company is now organized around four connected growth platforms—aggregates, cement, roads and water infrastructure—after about $14 billion of divestitures. CRH announces acquisition of Arcosa for $8.5 billion

CRH has announced a binding agreement to acquire Arcosa entirely for cash, offering $150 per share, which corresponds to an enterprise value of about $8.5 billion. The offer represents a 25% premium to the volume-weighted 60-day average price. CRH says the move strategically strengthens its North American business, particularly in aggregates and in infrastructure solutions including power transmission. CRH shareholders approve cancellation of their preference shares

Holders of the cumulative 7% "A" preference shares and the cumulative 5% preference shares of CRH approved the proposed cancellation of their share classes at separate special meetings. For the 7% "A" shares, 496,285 voted in favour and 30,972 against the cancellation; for the 5% shares, 35,782 voted in favour and 6,543 against; no abstentions were recorded.
