Faraday Future cancels warrant obligations from March 2025 financing
Faraday Future has signed an amendment with all five investors in the March 2025 financing that cancels the issuance of about 237,615 warrants and additional claims on warrants for roughly 173,126 shares. The measure prevents a potential maximum dilution of almost 40% based on the current price and a minimum conversion price of $5. Faraday Future cancels subscription rights for 5.4 million common shares
Faraday Future, in agreement with two investors, annulled subscription rights to acquire 5,359,525 Class A common shares and thereby eliminated a total of about 49.9 million subscription rights, including the 44,551,199 rights cancelled in December 2025. The company also amended its securities purchase agreement for the convertible note financing dated July 14, 2025: certain investors will no longer receive subscription rights at closings, the VWAP clause was removed, and the second closing was split into eight partial closings that will occur only after additional funding inflows of at least $5 million each. Faraday Future receives over 200 paid preorders at Middle East launch
Faraday Future sold more than 200 non-refundable preorders for the FX Super One/AIHEREV Max within 24 hours of the market launch in the UAE. The presentation took place at the Armani Hotel in the Burj Khalifa in Dubai; one customer paid a preorder partly in cryptocurrency (1,385 USDT).
