Authentic Brands Group has completed the acquisition of Guess? and taken the fashion brand off the NYSE. The transaction values Guess? at about $6 billion in global retail-equivalent revenue; Authentic holds 51% of the core intellectual property, while the remaining 49% stays with the existing shareholders. The current management owns 100% of the operating company and will continue to run the business. Since the submission of the proxy statement, the company has received 15 letters alleging omissions, seven inspection requests under Delaware law and two lawsuits in New York challenging inadequate disclosure; Guess considers the allegations unfounded. The filing also discloses fees paid to the law firms involved, updates financial analyses and projections for 2026–2030 and supplements corporate metrics.
