S&P downgrades Janus Henderson to BB after buyout
S&P Global Ratings has cut Janus Henderson’s long-term rating from BBB+ to BB following completion of the buyout by a consortium led by Trian and General Catalyst. Existing senior unsecured notes were downgraded to B+ because they are subordinated to secured liabilities in the newly formed parent company, Jupiter. Jupiter has drawn a $2.9bn Term Loan B and a $500m revolver; S&P expects leverage of 3.0x–4.0x and liquidity of about $300–400m, assigns a stable outlook, and says a further downgrade could occur if leverage rises above 5.0x or AUM falls sharply. » More on de.investing.com
Janus Henderson secures regulatory approval for $52-a-share take-private deal
Janus Henderson has obtained the regulatory clearances and client approvals required for its take-private transaction with Trian Fund Management and General Catalyst, moving the deal closer to completion. Shareholders already voted in favour and the transaction is scheduled to close on 30 June 2026, subject to final closing conditions. Janus Henderson agrees to acquire Frankfurt-based Rantum Capital
Janus Henderson has signed an agreement to acquire Rantum Capital, an investment manager specializing in private debt and private equity for family-owned mid-market companies in the DACH region. Rantum has raised roughly €1.2 billion of capital for its private-credit and private-equity strategies and is expected to support Janus Henderson’s build-out of its pan‑European private‑credit platform. The transaction is due to close in the third quarter of 2026; financial terms were not disclosed.
