Monroe Capital merges with Horizon Technology Finance and will be delisted
Monroe Capital completed the sale of its investment assets to Monroe Capital Income Plus and the subsequent merger with Horizon Technology Finance. Each outstanding Monroe share will be converted into the right to 0.9402 Horizon common shares; Horizon will issue approximately 20,370,693 shares to former Monroe shareholders. Monroe Capital raises final special distribution ahead of merger with Horizon
Monroe Capital announced an increased final special distribution of $13.0m ($0.61 per share), in addition to previously planned undistributed taxable earnings of $2.9m ($0.14 per share), bringing the total distribution before the merger to about $15.9m ($0.75 per share). The payment is subject to shareholder approval of the merger with Horizon Technology Finance and other closing conditions; the stock trades near its 52‑week low. Monroe will fund the distribution with proceeds from the sale of nearly all assets to the privately placed Monroe Capital Income Plus Corporation. Monroe Capital winds up MRCC Senior Loan Fund ahead of planned merger
The management of MRCC Senior Loan Fund I has decided to liquidate and dissolve the fund; the orderly liquidation of the remaining portfolio investments is to be completed by no later than 31 December 2025. Monroe Capital does not expect prepayment penalties or any material ongoing obligations arising from the wind‑up.
