National CineMedia has acquired a majority stake in Captivate, the digital out-of-home advertising network with more than 26,000 screens in 170 markets in the US and Canada. Captivate had been owned by Generation Partners since 2013, which modernized the company’s technology and expanded the network into office and residential properties. Financial and legal advisers were named on both sides; the financial terms of the transaction were not disclosed. National CineMedia reported Q2 2026 revenue of $58.4 million (expectation $61.1 million) and adjusted EPS of -$0.11 (expectation -$0.04), after which the stock fell about 15.6% to $3.20 in after-hours trading. Despite year-over-year revenue growth (+12.7%), rising adjusted OIBDA ($2.1 million) and a 19.3% increase in attendance, net income missed estimates. Management suspended guidance due to the planned acquisition of Captivate, suspended dividends and share buybacks, and expects synergies of at least $3.5 million on a run-rate basis after closing. Attendance in its cinema network rose 15% and national box office receipts increased 25%, while local advertising revenue declined.
