Penguin Solutions places $750 million convertible notes due 2031
Penguin Solutions completed a private placement of $750 million of senior, zero-coupon convertible notes due August 1, 2031, with a 50% conversion premium and full exercise of a $100 million option. The securities were sold under Rule 144A to qualified institutional buyers; existing 2% convertible notes due 2029 and 2030 with an aggregate principal amount of about $295.5 million will be exchanged for cash and equity. The company entered into capped-call transactions and expects no net dilution unless the share price rises above roughly $175.05. Net proceeds will be used to finance the capped calls, the cash portion of the exchange, to repay indebtedness and for general corporate purposes to support the AI Factory Platform.
