Silicon Motion Technology posts record revenue and benefits from AI boom
Silicon Motion Technology reports Q2 record revenue of $451 million (+127% YoY) with adjusted earnings per ADS of $2.43 and a gross margin of 50.2%. Silicon Motion completed a private placement of $1.15 billion in convertible bonds (including exercise of a $150 million option). The zero-coupon bonds mature on August 15, 2031, and have an initial conversion price of about $380.50 per ADS (a 65% premium to the closing price on August 10, 2026); each ADS represents four common shares. Net proceeds after underwriter discounts are $1.127 billion; funds will be used for general corporate purposes and to repay borrowings. Silicon Motion places $1 billion convertible note due 2031
Silicon Motion has placed a senior, unsecured convertible note of $1 billion (originally $800m, upsize option up to $150m) maturing on August 15, 2031; settlement is scheduled for August 13, 2026. The notes do not pay regular interest; the initial conversion rate is 2.6281 ADS per $1,000 principal (conversion price about $380.50 per ADS, roughly a 65% premium to the closing price). Conversion before May 15, 2031 is only possible under certain conditions, thereafter until two trading days before maturity at the option of the holders; early redemption by the company is allowed under certain tax conditions or from August 20, 2029 if 130% of the conversion price is reached.
