Trinseo calls extraordinary general meeting after net assets fall below legal threshold

Trinseo has called an extraordinary general meeting for 23 September 2026 because the company’s net assets have fallen to half or less of its subscribed capital. The decision follows a calculation dated 7 August and complies with the requirements of the Irish Companies Act 2014, section 1111. Trinseo extends waiver for securitization facility until 27 May 2026

The counterparties have agreed to extend the existing waiver for Trinseo’s in‑house securitization facility (pursuant to the Credit and Security Agreement dated 18 July 2024) until 27 May 2026. The waiver was originally disclosed on 20 March and was extended without a new agreement. Trinseo suspends interest payments and negotiates capital structure

Trinseo and certain subsidiaries did not make due interest payments of about $38 million and are in talks with financing partners to reorganize their capital structure. The non-payment could, after grace periods expire, trigger events of default under certain loan agreements, so creditors have granted time-limited waivers and amendment agreements through April 30, 2026.
