Xiao-I Corporation plans reverse ADS split at a ratio of 1:7
Xiao-I Corporation announced a reverse ADS split at a ratio of 1:7, adjusting the ADS ratio from one ADS for 60 common shares to one ADS for 420 common shares. The change is expected to become effective around September 8, 2026, and on the record date will automatically combine every seven existing ADS into one new ADS; for ADS held in Swiss custody the exchange will be carried out automatically through The Depository Trust Company. Citibank, N.A. will redeem the old ADS and issue the new ones; no fractional ADS will be issued and any fractions will be sold with the net proceeds paid out. Xiao-I secures $3.25 million through convertible note
Xiao-I entered into a Securities Purchase Agreement with an institutional investor and issued an unsecured convertible note with a principal amount of $3.25 million. At the same time, the company issued 8,503,369 common shares as pre-delivery shares. The note was issued with a discount of $240,000 and, after deduction of transaction costs, at a purchase price of $3.0 million; the first closing took place on Tuesday. Xiao-I announces 1:20 reverse split for ADSs effective May 11, 2026
Xiao-I will implement a 1:20 reverse ADS split effective May 11, 2026, whereby 20 existing ADSs will be automatically exchanged for one new ADS and the ADS ratio will be adjusted from one ADS (representing 1/3 common share) to one ADS (representing 60 common shares). Citibank, N.A. will act as depositary to cancel the old ADSs and issue the new ones; fractional interests will be aggregated, sold and the net proceeds after fees distributed to holders.
