Gossamer Bio has entered into a purchase agreement for up to approximately $250 million in securities. Of that amount, $150 million is committed, including $25 million at the first closing and an additional $125 million contingent on FDA acceptance of the NDA for Seralutinib, which the company plans to submit in September 2026. In addition, exercisable warrants upon approval could raise up to roughly $100 million. Gossamer Bio reports that holders of 5.00% convertible senior notes (due 2027) have tendered notes with a principal amount of $181.1 million, representing a 90.5% acceptance rate. The outstanding notes are being exchanged for new, senior secured 7.50% convertible senior notes (due 2030) of up to $65.2 million principal amount, approximately 254.2 million common shares, 33.4 million pre-funded warrants and 135.8 million purchase warrants; settlement is scheduled for Thursday.
