Denarius Metals forms two joint ventures in Saudi Arabia and plans private placement

Denarius Metals has formed two joint ventures in Saudi Arabia with ProGrowth — Al Sahra Minerals and Najd Minerals — and holds a 75% equity stake in each. Al Sahra will focus on infrastructure for mineral processing and refining, supported by Italpreziosi and Italimpianti Ofra, while Najd will pursue acquisition and development of mining licences for gold, nickel and other minerals. Denarius Metals withdraws takeover offer for Emerita Resources

Denarius Metals has withdrawn its offer of CA$0.45 per Emerita share (a 73% premium) after Emerita did not enter into substantive negotiations. Denarius Metals has increased its takeover offer for Emerita Resources to CA$0.45 per share in a pure share-swap, representing a 73% premium to the April 10, 2026 closing price. The offer values Emerita at about CA$133.48 million and would issue roughly CA$150 million in new Denarius shares at the current price (exchange ratio ~0.506). The bid is conditional on negotiating a final agreement and obtaining regulatory and shareholder approvals.
