Mirasol Resources raises US$3.01 million in private placement

Mirasol Resources completed an unguided private placement of approximately US$3.01 million, issuing 6,689,445 units at US$0.45 each. Each unit consists of one common share and one-half warrant; one full warrant entitles the holder to purchase one common share for US$0.60 within 12 months. Part of the financing (3,350,556 units) was subscribed by two directors and an executive officer (related party transaction); the securities are subject to a four-month hold period. Proceeds are intended to fund exploration and general corporate purposes; the company simultaneously shows strained liquidity (current ratio 0.32) and, according to InvestingPro, signs of high cash burn and an overvalued share.
