Fermi reports rapid Project Matador buildout, seeks tenant leases and project financing
Fermi said it substantially completed initial Phase 0 work at Project Matador, secured a 6 GW air permit and filed for an additional 5 GW, and has deployed about $570 million into construction in 2025. The company is pre-revenue with a 2025 net loss driven largely by noncash items, held $409 million cash at year-end and says current liquidity covers obligations for at least 12 months. Management emphasized the need to sign definitive tenant agreements and close project-level financing before committing material capital to the next phase; multiple LOIs and negotiations are ongoing. Fermi introduces 70% majority requirement for charter amendments
Fermi's board amended the charter so that changes to the number of directors, directors' term lengths and the amendment process will now require at least 70% of the voting shares. The revision took effect immediately and was filed with the SEC. At the same time, a special shareholder meeting called by former CEO Toby Neugebauer was canceled; major shareholder Caddis Capital supports the current board and rejects Neugebauer's proposals.
