Datavault AI to acquire CyberCatch in all‑stock transaction
Datavault AI has agreed to acquire 100% of the shares of CyberCatch in a pure share swap. Datavault will exchange about 26.8 million CyberCatch common shares for roughly 49.9 million newly issued Datavault shares (equivalent to CAD 5.11 per CyberCatch share; total value CAD 136.8 million); CyberCatch convertible securities will be converted into Datavault shares at USD 2.00 per share. Upon closing, Datavault shareholders will hold about 92.48% and CyberCatch shareholders about 7.52% of the combined company; CyberCatch will operate as a San Diego‑based subsidiary, with Sai Huda as president of the subsidiary reporting to Datavault CEO Nathaniel T. Bradley.
