Dai Nippon Printing plans squeeze-out and delisting of AUSTRIACARD HOLDINGS AG

Dai Nippon Printing intends, after acceptance of its voluntary takeover offer for approximately 96.55% of the shares, to carry out a squeeze-out under the Austrian Gesellschafts-Ausschlussgesetz (Companies Exclusion Act). The measure is subject to approval of the foreign direct investment by the competent FDI authority in Austria. Dai Nippon Printing reaches 96.29% of voting rights in AUSTRIACARD HOLDINGS

Dai Nippon Printing reports that its holding of voting rights in AUSTRIACARD HOLDINGS via financial instruments reached 96.29% on 20 August 2026. DNP had already disclosed an irrevocable commitment over 74.58% of the shares on 13 May; additionally, shareholders have tendered a further roughly 21%. The acquisition is subject to conditions precedent and will be carried out in accordance with the terms of the public takeover offer.
