Frontera Energy increases operating cash flow and reduces debt after Parex transaction

Frontera sells Colombian oil assets to Parex for $750m
Frontera has signed a binding agreement to sell its Colombian upstream business to Parex in a deal worth about $750m. Consideration includes up to $525m in shares, $500m cash at closing plus a $25m contingent payment; Parex will also assume $310m of senior notes and an $80m Chevron prepayment facility. After closing, Frontera plans a distribution of roughly $470m to shareholders, will retain about $50m for growth and will focus going forward on its infrastructure business. Parex acquires Frontera assets in Colombia for $725 million
Parex Resources has agreed to acquire Fronteraâs exploration and production assets in Colombia for $500 million in cash plus assumption of $225 million in net liabilities and a $25 million contingent payment. The deal covers 17 blocks totaling over 1.1 million acres, current production of about 37,000 barrels of oil equivalent per day, and proven reserves of 99 million barrels (P) and 147 million barrels (P+P). Parex will fund the purchase from cash and credit lines, assume additional liabilities, and expects pro forma production of 80,000â88,000 barrels per day and annual cost synergies of $20â50 million.
