The board of directors of NaaS Technologie has amended the stock option plan, raising the maximum number of Class A common shares issuable from 1,144,726,605 to 4,629,191,266. The amendment to the Fifth Amended and Restated New 2022 Share Incentive Plan took effect on Wednesday. From January 1, 2027, the available number of shares will automatically increase each year by 1% of the outstanding shares at the end of the previous year, unless the board decides otherwise. NaaS Technology reduced the par value of its shares and amended its share capital and articles of association following a shareholder resolution. As part of the restructuring, the company repurchased certain Class A shares issued in 2025 and reissued them, and it adjusted the terms of existing warrants (exercise price raised from $0.79 to $2.20 per ADS; 1 ADS = 3,200 common shares). NaaS Technology received a notice from Nasdaq because its market capitalization of about $25.9 million is below the required minimum market value of $35 million. The company has until August 17, 2026 to reach a market value of at least $35 million on ten consecutive trading days. In addition, NaaS currently does not meet the requirements for at least $2.5 million in shareholders’ equity and for net income in the required periods.
